The Federal Government has said it will undertake a comprehensive assessment of the reported acquisition of IHS Towers by MTN Group, citing the strategic importance of telecommunications infrastructure to Nigeria’s national security, economic stability and digital growth, Prime Business Africa reports.

In a statement issued on Tuesday, the Minister of Communications, Innovation and Digital Economy, Dr. ‘Bosun Tijani, said the ministry would work with relevant regulatory authorities to evaluate the implications of the development for the Nigerian telecommunications sector.

The minister noted that the administration of President Tinubu has, over the past two years, implemented measures aimed at stabilising and strengthening the telecommunications industry as a key pillar of Nigeria’s digital economy. According to him, reforms focused on policy clarity, regulatory support and sustained engagement with industry stakeholders have helped restore investor confidence and improve sector performance.

The reported transaction involves MTN Group, one of Africa’s largest telecommunications companies, and IHS Towers, one of the world’s biggest independent owners and operators of shared telecom infrastructure.

MTN’s Nigerian subsidiary, MTN Nigeria, is the largest mobile network operator in the country by subscriber base. Over the years, MTN adopted an asset-light strategy that saw it divest much of its tower infrastructure to IHS Towers and lease it back under long-term agreements. The arrangement enabled MTN to reduce capital expenditure while focusing on service delivery, while IHS expanded its footprint as a neutral infrastructure provider serving multiple operators, including Airtel and others.

MTN Group already holds a significant minority stake in IHS Towers, making the reported move toward full or controlling ownership a potentially major structural shift within the industry.

Analysts say such a consolidation could alter the competitive dynamics of the market, particularly because IHS leases towers to several mobile network operators. A change in ownership structure may raise regulatory concerns about equal access, pricing neutrality and infrastructure sharing.

Tijani stressed that telecommunications infrastructure plays a critical role beyond voice and data services, supporting banking systems, digital payments, government communications, emergency services and broader economic activity. He said the ministry’s review would focus on ensuring that any market consolidation protects consumers, safeguards investments and preserves long-term sector sustainability.

Recent financial results from major operators indicate a return to improved profitability, increased infrastructure investments and enhanced operational stability, following a period marked by foreign exchange constraints, inflationary pressures and rising operating costs.

The minister said the government remains committed to maintaining a stable, transparent and forward-looking policy environment aligned with the administration’s Renewed Hope agenda, particularly as Nigeria accelerates broadband expansion, deepens 5G rollout and seeks to attract further investment into its growing digital economy.

“The Ministry will undertake a thorough assessment of this development in collaboration with the relevant regulatory authorities to review its impact on the sector,” the statement said.
