Leadway’s Investment In FBN Holdings Equities Belong To RSA Holders – PenCom

The National Pension Commission (PenCom) has said that the equity investments in First Bank Nigeria (FBN) Holdings made by Leadway Pensure Limited on behalf of the pension funds under its management are in the name of the pension fund and belong to the Retirement Savings Account (RSA) holders.

The Commission made this clarification in reaction to several publications in the media alleging breach of its regulation on investment of pension fund assets by Leadway Pensure Ltd, a licensed Pension Fund Administrator (PFA), in the equities of FBN Holdings Plc.

In a statement made available to the media, the Commission categorically stated that the allegations are not correct and must have been made based on the lack of understanding of the Investment Regulation issued by PenCom.

“For the avoidance of doubt, the Commission wishes to clarify as follows: the equity investments in FBN Holdings Plc as stated above, cannot be appropriated or classified as shareholdings of any related party to the PFA.

“Leadway Pensure Ltd is not in breach of the Investment Regulation by investing pension funds in the equities of FBN Holding Plc.

“Records which can be confirmed from the Securities and Exchange Commission show that the equity investments in FBN Holdings Plc are in the name of the Pension Fund on behalf of the RSA holders,” the statement read in part.

For further clarification, the commission wants the public to note that: Pension fund assets are managed by licensed PFAs and held in custody by Pension Fund Custodians (PFCs) on behalf of Retirement Savings Account holders and other beneficiaries of the Contributory Pension scheme (CPS), in line with the provisions of the Pension Reform Act 2014 (PRA 2014).

“Section 69 (b) of PRA 2014 stipulates that the PFA and PFC shall take reasonable care that the management or custody of the pension funds is carried out in the best interest of the retirement savings account holders.

“Therefore, all investments made by licensed PFAs in eligible securities and corporate entities are “ring-fenced” and belong to the RSA holders and other pension beneficiaries.

“Accordingly, these pension assets cannot be appropriated directly or indirectly to any individual or related party of the PFA.

“The provisions of Section 6.1(iii) of the Investment Regulation dealing with conflict of interest, stipulate that the PFA or any of its agents are prohibited from investing Pension Fund Assets in the shares or any other securities, issued through public or private placement arrangements, by related party/person of any of the shareholders of the PFA,” it stated.

Related persons/party as defined in Section 1.10 of the Investment Regulation “includes natural persons related by blood, adoption or marriage; legal entities one of which has control or significant influence over the other, or both of which are controlled by some other person or entity; a corporate entity where any of the aforementioned holds 5per cent or more beneficial interest; and any other relationship that can be reasonably construed as related persons or parties”.

According to the statement, in view of the foregoing, the Commission reiterates that there was no breach of its Investment Regulation whatsoever and urges the general public to be guided accordingly.

”The Commission restates its commitment to fulfilling its regulatory and supervisory functions as well as ensuring the safety of pension assets and the soundness of the Pension Industry,” it stated.

The Nigerian Army had after the ugly incident that occured at Obikabia Junction in Aba the commercial hub of the state released a statement vowing to retaliate over killing saying “accordingly, it is absolutely imperative that the military retaliate against this dastardly act against troops. The military would be firece in it's response. We would bring overwhelming military pressure on the group to ensure their total defeat.” Subsequently, videos trending online showed military officers deployed to Abia raiding the area in apparent search for criminals who killed their colleagues. Some clips showed soldiers gather some people in the area.and interrogate them. There were also reports that soldiers have been harassing many residents of the area since Friday. Some Nigerians criticised the act saying that military officers are not suppose to be in city centres because the country is not at war. “Soldiers are supposed to on the front line. Why the city? Are we at war?” Another X user, Alani 10Lions one Elephant cried out. According to a Premium Times report, spokesperson of the 14 Brigade of the Nigeria army in Ohafia, Abia State, Innocent Omale, confirmed the arrest of some residents but said they were later released. Aba residents complain over the actions of the military in retaliation to the death of their men. Mr Christian Ekocha, who is a resident of the area claimed that there have been choppers and helicopters flying around the area numerous times a day. “There was even a rumour that soliders opened fire on civilians in Ngwa road. Although, I have not confirmed the authenticity of the information. But youths are being harassed and interrogated by these military personnels,” he added. Nigerians on their X handles urged the military not to harm innocent civilians in a quest for retaliation. “Dropping military men is unacceptable. Go hard on the criminals and not the armless citizens,” Adewale ‘Damilare urged the military. Netizens also called on the Abia State Governor, Alex Otti, to intervene so that the military would not take catastrophic actions against citizens. “Howbeit, this is urging Alex Otti to swoop into action to meet with the Nigerian army chief, Lt. Gen Taoreed Lagbaja to call his boys to order. As in their usual characteristics, they are now setting the cart before the horse in Aba, Abia state, just like they did in Okuama community, in Ugheli south LGA of Delta State in March 2024,” Mr Ike God said on his X handle. Recall that in March, 17 military personnels were killed in Delta state, during a peace mission. The community was razed down by some unknown men some days later and the residents alleged it to be the military men in retaliation. Nigerians fear that Aba might experience similar fate.
