Tata Sons Board Backs Chandrasekaran for Fresh Term Amid Noel Tata Opposition

Tata Sons’ board has approved a fresh five-year term for Executive Chairman N. Chandrasekaran, reversing his decision not to seek another term and setting up a dispute with Tata Trusts Chairman Noel Tata over the leadership of the conglomerate’s holding company.

Chandrasekaran had told the board on Aug. 12 that he would step down when his current term expires on Feb. 20, 2027. The company’s nomination and remuneration committee later asked him to reconsider, and he agreed to remain in the role for another five years.

The board approved the reappointment by a 4-1 vote, with Noel Tata, a Tata Trusts nominee, voting against it.

Tata Trusts, which holds about 66% of Tata Sons, has challenged the decision. Noel Tata has argued that the board should not have proceeded with the reappointment after Chandrasekaran had announced his intention to leave and the trusts had begun considering a succession process.

The leadership dispute comes as Tata Sons faces a separate regulatory issue concerning its status as a core investment company and the requirement applicable to certain large non-banking financial companies to list their shares.

The Reserve Bank of India rejected on Sept. 11 Tata Sons’ application to surrender its registration as a core investment company. Following the decision, the Tata Sons board said it would begin steps to comply with applicable RBI requirements and seek guidance from the central bank, Tata Trusts and other stakeholders.

Tata Trusts has opposed a public listing, while the Shapoorji Pallonji Group, which owns about 18.4% of Tata Sons, has supported one. The disagreement adds another layer to the broader differences over the future direction of the holding company.

For now, the immediate issue is whether Chandrasekaran’s reappointment will withstand the challenge from Tata Trusts. His proposed second term would keep him at the helm of Tata Sons until 2032, subject to the necessary corporate and regulatory processes.
